Terms & Conditions

1. Who you are contracting with

These Terms govern your use of PicPostly (the “Service”), a product of Apex Automated LLC(“we”, “us”, “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

2. Eligibility & authority

You must be of legal age in your jurisdiction. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. The Service

PicPostly turns photos of items into draft listings for online marketplaces. You review and publish each listing yourself. Drafts are generated by AI and may be inaccurate; you are responsible for reviewing the output before posting.

4. Your account

You must provide accurate information, keep it up to date, and keep your credentials confidential. You are responsible for activity under your account.

5. Acceptable use

You will not:

  • use the Service for unlawful, fraudulent, deceptive, or infringing purposes;
  • upload content you do not have the rights to use;
  • generate listings that misrepresent items, infringe third-party rights, or violate marketplace rules;
  • upload illegal, harmful, hateful, or sexually explicit content involving minors;
  • attempt to reverse engineer, scrape, probe, or interfere with the Service or its security;
  • introduce malware or attempt to gain unauthorized access to systems or accounts;
  • resell, redistribute, or use the Service to build a competing product.

6. AI outputs

Listings, descriptions, prices, and other AI-generated content (“Outputs”) are suggestions only. Outputs may be inaccurate, incomplete, or unsuitable. You are responsible for verifying details (condition, dimensions, pricing, legal compliance) before publishing. Do not rely on Outputs as professional advice.

You retain rights in the photos and information you upload (“Inputs”). You grant us a limited, worldwide, royalty-free license to host and process Inputs and Outputs solely to provide the Service. As between you and us, you own the Outputs generated for your account, subject to applicable third-party rights and law.

We may remove or refuse to generate content that violates these Terms. If you believe content infringes your rights, contact us at support@picpostly.com; we may remove infringing content and terminate accounts of repeat infringers.

7. Intellectual property

The Service, including its software, models, branding, and documentation, is owned by Apex Automated LLC and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms and your chosen plan. All other rights are reserved.

8. Plans, payments & subscriptions

Paid plans are sold on a subscription basis (monthly or yearly). Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, renewals, cancellations, and refunds are handled by Paddle in accordance with the Paddle Buyer Terms and the Paddle Refund Policy.

Subscriptions renew automatically until cancelled. When you cancel, you keep access to paid features until the end of the current billing period. Plan changes take effect immediately and are prorated.

9. Service level

We work to keep the Service available, but we do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features at any time.

10. Suspension & termination

We may suspend or terminate your access for material breach of these Terms, non-payment, suspected fraud or security risk, or repeated or serious policy violations. You may stop using the Service at any time. On termination, your right to use the Service ends; we may delete account data after a reasonable period.

11. Disclaimers

To the fullest extent permitted by law, the Service is provided “as is” and “as available”, without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost revenue, lost data, or loss of goodwill. Our aggregate liability arising out of or related to the Service will not exceed the amounts you paid us in the 12 months before the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded by law (such as for fraud or personal injury caused by negligence).

13. Indemnity

You will indemnify and hold Apex Automated LLC harmless from claims arising out of your Inputs, your use of Outputs, your violation of these Terms, or your violation of third-party rights or law.

14. Changes to these Terms

We may update these Terms from time to time. If changes are material, we will notify you (e.g. by email or in-app). Continued use after the effective date of the updated Terms constitutes acceptance.

15. Governing law & disputes

These Terms are governed by the laws of the jurisdiction where Apex Automated LLC is established, without regard to conflict-of-laws principles. The courts of that jurisdiction will have exclusive jurisdiction over disputes, unless mandatory consumer law gives you the right to bring proceedings elsewhere.

16. Assignment & force majeure

You may not assign these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays or failures caused by events beyond reasonable control.
